Terms of Service

1. Acceptance of Terms

By accessing or using Vantura ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Vantura is a cloud-based inventory management and valuation platform designed for small and medium businesses. The Service allows you to track products, manage stock across multiple locations, create purchase orders, perform inventory valuations using industry-standard costing methods (FIFO, LIFO, weighted average, standard costing), and export data.

3. Account Registration

To use Vantura, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

Each individual must have their own account. Sharing account credentials is not permitted.

4. Subscription and Billing

Vantura offers the following plans:

• Starter: $29 per month, with 1 seat included. Additional seats are $12 per seat per month. Annual billing is available at a 17% discount ($24/month base, $10/seat/month).
• Enterprise: Custom pricing. Contact sales@vantura.com for details.

Vantura offers a Starter plan at $29/month (1 seat included) with additional seats at $12/month each. All billing is processed through Stripe. Subscriptions renew automatically unless cancelled before the renewal date.

We may change pricing with 30 days' advance notice. Price changes will take effect at the start of your next billing cycle.

5. Your Data

You retain full ownership of all data you enter into Vantura, including products, stock levels, purchase orders, and valuations ("Your Data"). We do not claim any ownership rights over Your Data.

We process Your Data solely to provide the Service. You may export Your Data at any time using the CSV export feature. Upon account deletion, Your Data will be permanently removed after a 30-day grace period.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of applicable laws
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or use automated tools to access the Service without permission
• Interfere with or disrupt the Service or its infrastructure
• Transmit malware, viruses, or other harmful code
• Resell, sublicense, or redistribute the Service without written consent

7. Service Availability

We aim to provide high availability but do not guarantee 100% uptime. The Service may be temporarily unavailable for scheduled maintenance (with reasonable advance notice) or unplanned outages. We will make reasonable efforts to minimize disruptions and communicate about known issues.

8. Limitation of Liability

To the maximum extent permitted by law, Vantura and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Termination

Either party may terminate this agreement at any time:

• By you: Cancel your subscription from the billing settings page. You will retain access until the end of your current billing period.
• By us: We may suspend or terminate your account for violation of these Terms, with notice when practical. In cases of fraud or abuse, we may terminate immediately.

Upon termination, Your Data will be preserved for a 30-day grace period during which you can export it. After the grace period, data is permanently deleted.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Delaware.
